1. Welcome
These Terms and Conditions govern your use of our cybersecurity services and subscriptions. By accessing or using our services, you agree to these Terms in full. Please read them carefully before proceeding.

3. Definitions
Agreement – These Terms and Conditions.
Client Data – Any data, including Personal Data, submitted by the Client.
Confidential Information – All non-public information disclosed by either party.
Services – The cybersecurity services and subscriptions provided by Lateral Edge Ltd.
User – A named individual authorised by the Client to use the Services.
DPA – The Data Processing Agreement under UK GDPR.
4. Acceptance of Terms
By subscribing, purchasing, or otherwise engaging with our Services, the Client acknowledges and agrees to be legally bound by these Terms in full and affirms that they have read and understood them.
5. Service Structure
Lateral Edge Ltd offers tiered cybersecurity service plans (Professional, Expert, Enterprise) with the following features:
Monthly and Annual billing options
Fixed minimum terms of 12, 24, or 36 months depending on the plan
Custom add-ons and Extra User Licences (charged monthly or annually depending on the selected billing cycle)
Use of Microsoft 365 licences subject to Microsoft’s terms
All plans are subject to a setup fee, which is payable at contract commencement.
6. Minimum Term Commitments
All contracts are subject to a minimum term commitment based on the plan selected (e.g., 12, 24, or 36 months).
Clients may terminate a contract only with a minimum of 30 days’ written notice before the end of the minimum term.
Early termination requests will not be accepted and no refunds will be granted for unused portions of the term. The Client remains unconditionally liable for full payment of the entire contracted period.
In the event of termination without notice or breach of these Terms, Lateral Edge Ltd may accelerate all remaining unpaid fees, which shall become immediately due and payable.
7. Payment Terms
Subscription payments are billed monthly or annually, in advance.
Invoices are due upon receipt. Late payments may incur interest at 8% per annum above the Bank of England base rate.
Additional user licences are billed in alignment with the subscription billing cycle.
Pricing and applicable taxes are displayed at checkout and in order confirmations.
The Client agrees not to withhold or delay payment under any circumstances related to functionality or results, except where required by law.
8. Account Security & 2FA Policy
Clients are required to activate Two-Factor Authentication (2FA) within 14 days of account creation.
Failure to activate 2FA within this period will result in automatic account lockout. Services will continue uninterrupted in the background, but the Client will lose administrative access until 2FA is enabled by contacting support.
The Client accepts full responsibility for ensuring account access remains secured and acknowledges that suspension of access due to non-enablement of 2FA does not constitute a service failure or grounds for withholding payment.
9. Intellectual Property
All content, tools, dashboards, scripts, and reports generated by Lateral Edge Ltd remain its exclusive intellectual property.
Clients are granted a limited, non-transferable, non-exclusive licence to use the Services during the term.
10. Data Protection, Privacy, & Confidentiality
Lateral Edge Ltd takes your privacy seriously. We comply fully with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
We collect only the personal data necessary to fulfil our contractual obligations.
We process data in accordance with lawful bases under UK GDPR.
We do not sell or share data with third parties except subprocessors essential to service delivery.
Cookies may be used on our site for analytics and functionality. You can control this via browser settings.
For full data processing terms, a Data Processing Agreement (DPA) is available on request.
Both parties agree to treat all Confidential Information securely.
11. Service Availability & SLA
Lateral Edge Ltd aims for 99.9% service uptime per calendar month.
Planned maintenance windows and emergency downtime will be communicated where practicable.
12. Client Obligations
Provide accurate business and user information.
Maintain appropriate security hygiene within your IT systems.
Ensure users follow our Acceptable Use Policy (see below).
Cooperate with security measures including patching, updates, and threat mitigation where applicable.
13. Acceptable Use Policy
The following behaviours are strictly prohibited while using any service provided by Lateral Edge Ltd:
Unauthorised Access: Attempting to gain unauthorised access to systems, networks, or accounts, whether of Lateral Edge Ltd, its partners, clients, or third parties.
Illegal Activity: Using our services for any unlawful purpose or in a way that violates applicable laws or regulations.
Malware & Exploits: Creating, distributing, or knowingly propagating malware, spyware, or exploit code.
Resource Misuse: Intentionally overloading or misusing system resources or using the service in a manner that degrades performance for others.
Data Abuse: Uploading, transmitting, or storing data you are not legally entitled to use, or that infringes the rights of others.
Disruption: Engaging in denial-of-service attacks, spamming, or interfering with the normal operation of our systems or those of others.
Impersonation & Deception: Misrepresenting your identity or authority or using services for phishing or social engineering.
Violations of this policy may result in immediate service suspension, account termination, and legal action. Clients are responsible for all actions taken through their systems and authorised users.

14. Suspension & Termination
Lateral Edge Ltd reserves the right to suspend or terminate service without liability in cases of:
Violation of these Terms
Abuse or misuse of systems
Failure to pay
Unlawful conduct
Insolvency, liquidation, or cessation of business
All outstanding balances shall remain immediately due and payable upon termination.
15. No Warranties
Services are provided “as is” and “as available”. While Lateral Edge Ltd applies industry-leading standards and follows CISSP-aligned practices, we do not warrant uninterrupted protection, error-free performance, or compliance guarantees unless expressly stated.
16. Limitation of Liability
To the fullest extent permitted by law:
Lateral Edge Ltd’s total liability shall not exceed the lesser of £50,000 or the amount paid by the Client in the past 12 months.
We shall not be liable for loss of profits, data, business interruption, or indirect damages.
This limitation shall survive termination and apply regardless of the legal theory under which liability arises.
17. Force Majeure
Lateral Edge Ltd is not liable for failure to perform due to circumstances beyond its reasonable control, including acts of God, war, terrorism, utility failures, pandemics, supply chain disruptions, regulatory changes, or cyberattacks.
18. Modification or Discontinuation of Services
Lateral Edge Ltd reserves the right to modify, update, or discontinue any feature, functionality, or part of the Services at its sole discretion, provided such changes do not materially degrade the overall core features agreed at the time of contract. Where such changes materially affect use, we will give at least 30 days’ prior notice.
19. Survival
The obligations set out in Sections 9 (Intellectual Property), 10 (Data Protection, Privacy, & Confidentiality), 13 (Acceptable Use Policy), 14 (Suspension & Termination), 15 (No Warranties), 16 (Limitation of Liability), and this Section 19 shall survive any termination or expiry of this Agreement.
20. Severability
If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
21. Entire Agreement
This Agreement constitutes the entire agreement between Lateral Edge Ltd and the Client, and supersedes any prior agreements, understandings, or representations (whether written or oral) relating to its subject matter. No other terms, conditions, or warranties will apply unless agreed in writing and signed by both parties.
22. Governing Law
This Agreement shall be governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England.
23. Changes to Terms
We reserve the right to amend these Terms with 30 days’ notice. Continued use of the Services constitutes acceptance. Previous versions will be retained for reference.
